Terms of Service

These Terms of Use (or "Terms") are a binding contract between you and Call Sadie, our AI phone receptionist technology and related services ("Sadie," "us," or "we"), operated by SkyHighMedia, and you as the subscribing business or individual ("Subscriber" or "you"). Any capitalized terms used herein without defining them have the definitions given in our Privacy Policy.

THESE TERMS INCLUDE A CLASS ACTION WAIVER AND AN ARBITRATION PROVISION THAT GOVERNS ANY DISPUTES BETWEEN YOU AND CALL SADIE.

1. Eligibility & Acceptance

To be eligible to use the Services, you must (a) be at least 18 years of age; (b) reside in a jurisdiction where we offer our Services and where use of our Services is lawful; and (c) represent that you have read, understood, and agree to be bound by these Terms. You may not use the Services if you have previously been suspended or removed from any of our Services. By using the Services, you represent and warrant that you meet all of the foregoing eligibility requirements.

By accessing or using any of our Services, you agree to be unconditionally bound by these Terms. Where the option is made available to you, you may accept the Terms by your statement or by clicking to accept or agree to the Terms over the phone, in any agreement, electronic form, or on the Services. If you are using or accessing the Services on behalf of a company or other entity ("Entity"), you represent, agree, and warrant that you are authorized to act on behalf of the Entity and to bind such Entity to these Terms.

2. The Services

a. Our Services. Call Sadie offers the following Services: (i) our AI phone receptionist to answer your calls and set appointments for you ("Sadie" or the "AI Receptionist"); (ii) a dashboard, software, and applications (collectively, the "Application") integrated with the existing systems of the Subscriber; and (iii) callsadie.com and other websites or online channels we own or operate (collectively, the "Site") (altogether, with the Site and Application, the "Services"). The Services create an audio recording of each call between callers to your business (your "Callers") and the AI Receptionist ("Recordings") and generate transcripts of such Recordings ("Transcripts"). Recordings and Transcripts are made available to you as part of the Services. You will receive the Services at your subscribed-to Services level as described on the Site and subject to these Terms.

b. Registration. To become a Subscriber, you must first register with Call Sadie, create an account on the Services (your "Account"), and select an available Subscription level. You must always maintain a valid email address and phone number on your account. You represent and warrant that: (i) you will maintain the accuracy of all data associated with your Account; (ii) you will not do anything that might jeopardize the security of your Account; and (iii) you will notify us immediately of any unauthorized access to or use of your login credentials. Call Sadie reserves the right to disable your login credentials at any time in our sole discretion, including if, in our opinion, you have violated any provision of these Terms.

c. Google Registration. Where the Services connect to Google Calendar or other Google APIs on your behalf, Call Sadie's use and transfer of any information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

d. Telephone Numbers. When you subscribe, we will host your established telephone number or assign you a forwarding telephone number. Call Sadie reserves the right to release or reassign any telephone numbers not ported back within three months after termination of the applicable subscription.

e. Caller Payments. If you configure the Services to collect payment information from your Callers (for example, to secure an appointment or prepay a service fee), you are solely responsible for collecting any required authorizations from your Callers. Call Sadie is not a bank, payment institution, payment processor, or money services business, and never has possession of or access to payment information. Any payments are processed by your chosen third-party payment processor, subject to that processor's terms.

f. Recordings and Transcripts. The Services include creation of Recordings and Transcripts of calls with your Callers for your reference and business use, and to allow Call Sadie to monitor quality, improve performance, and train our Services. Call recording and monitoring practices are subject to various federal, state, and local laws and limitations. Call Sadie will provide courtesy template notices to inform your Callers that a call is being recorded, so that the Caller can consent by continuing with the call or withhold consent by ending the call. You decide, through your Account settings, whether and how to implement such templates. You are solely responsible for your use of the Recordings and Transcripts features in compliance with applicable law.

g. SMS Features. Sadie may send SMS messages to a Caller's wireless phone number on your behalf—for example, a booking confirmation or a link discussed on the call ("SMS Features"). You are solely responsible for the content of and legal compliance surrounding any SMS messages sent to your Callers via the SMS Features, including obtaining any consent required by applicable law (such as the TCPA) and honoring opt-out requests. Call Sadie will use commercially reasonable efforts to log Caller consents and opt-outs, but you are solely responsible for maintaining a current list of your Callers' consents and opt-outs.

h. AI Features. Call Sadie provides certain features of the Services through artificial intelligence, machine learning, or similar technologies ("AI Technology") made available within AI-enabled features of the Services ("AI Features"). Your Caller interacts with the Services through prompts in the form of the Caller's conversation with Sadie ("Inputs") and receives outputs generated by Sadie based on those Inputs ("Outputs"). Call Sadie makes no representations as to Outputs, including their legality, accuracy, or completeness. It is your responsibility to evaluate Outputs and confirm they are appropriate for your Callers. You acknowledge and agree that:

  • Output may not always be accurate. You are responsible for verifying facts presented in Outputs before relying on them.
  • AI Features could generate the same or similar output for different users.
  • You must not use Outputs for any purpose that could have a legal or material impact on a person (e.g., credit, employment, housing, insurance, legal, or medical decisions).
  • You must ensure that Sadie is not made available to Callers who are under the age of 16.

Sadie is customized to your business by training on data from your website, other online channels about your business, and any other data you choose to provide ("Your Business Data"), as well as your Recordings and Transcripts. You may also choose to connect your customer relationship management data ("CRM Data"). You hereby grant Call Sadie a nonexclusive, sublicensable right to access, collect, process, and create derivatives of Your Business Data, CRM Data, Recordings, and Transcripts (collectively, "Your Data") for the purpose of providing you the Services and for Call Sadie's own internal business purposes, including improving our AI models using de-identified or aggregated data.

3. Subscriptions

a. Your Subscription. The Services are offered on a subscription basis (your "Subscription"). Your Subscription starts the day you sign up and automatically renews every 30 days unless cancelled or changed as provided in these Terms. We reserve the right to change our subscription plans or adjust pricing at any time, with at least 30 days' notice prior to any Fee increase or plan change for existing Subscribers. Call Sadie currently offers the following Subscription Plans, each with a monthly allotment of included talk minutes and a per-minute overage rate, as posted on the Site at the time you Subscribe:

  • Professional Plan — includes a base allotment of talk minutes per month; additional minutes are billed at the posted overage rate.
  • Scale Plan — includes a larger base allotment of talk minutes per month; additional minutes are billed at the posted overage rate.
  • Custom Plan — for agencies and high-volume Subscribers, available by contacting us. Custom Plans are governed by these Terms as well as any additional terms agreed in writing.

b. Free Trial. Call Sadie may offer new Subscribers a free trial period, the length of which is stated at signup. Free trials are only available to new Subscribers who have not previously subscribed to the Services. Unless you cancel before the end of the free trial period, your Services access will convert to a paid Subscription and your payment method will be charged.

c. Services Minutes. We measure usage in Services Minutes, calculated and billed in 60-second increments, rounded up to the next 60-second mark, starting when a Caller's call connects with Sadie and ending when the call disconnects. You are responsible for monitoring your Services Minutes usage through your Account. Minutes used in excess of your Subscription Plan's included allotment in a given month are billed at the posted per-minute overage rate for your plan.

4. Fees & Payment

a. Fees. You agree to pay the fees associated with the Services to which you subscribe ("Fees"), plus any applicable sales and use taxes. All Fees are quoted in United States dollars. Billing for your Subscription starts on the day you sign up. Subscription changes that result in additional Fees are effective immediately for the then-current billing period; changes that result in lower Fees take effect at the start of the next billing period.

b. Payment Method. You must maintain a valid payment method on your Account. You expressly authorize Call Sadie to charge your payment method every 30 days for Fees due, along with any applicable taxes. Except where a refund is expressly provided in these Terms, payments are nonrefundable and there are no credits for partially used periods.

c. Late Payment. If we cannot successfully charge your payment method, we reserve the right to suspend or terminate your access to the Services until payment is received.

5. Privacy

a. Services Announcements. Call Sadie may use your contact information to send you service announcements or administrative communications related to your use of the Services. If you have an active Subscription, you will not be able to fully opt out of these messages.

b. Privacy Policy. You acknowledge that you have read and understand our Privacy Policy, which governs our collection, use, and disclosure of information, including monitoring of calls with Callers in real time for quality and safety purposes.

c. Texting Consent. By providing us with your wireless phone number, you consent to Call Sadie sending you informational text messages related to the Services you have requested. You can unsubscribe from text messages by replying STOP or UNSUBSCRIBE. Messaging and data charges may apply.

6. Call Sadie Property

a. The Services. Unless otherwise expressly indicated, the Services (including all AI Features, the Site, and Site content) and all data, images, logos, source code, and other materials contained in the Services (collectively, the "Call Sadie Property") are copyrights, trademarks, trade dress, or other intellectual property owned or controlled by SkyHighMedia. Call Sadie grants you a license to use the Call Sadie Property available under your Subscription level, as permitted by these Terms. The Call Sadie Property is licensed to you, not sold, and this license terminates automatically if you breach these Terms.

b. Copyright. You do not have permission to copy, reproduce, distribute, publicly display, or create derivative works from any Call Sadie Property without our prior written permission, other than as necessary to use the Services for their intended purpose.

c. Trademarks. "Call Sadie," "Sadie," and associated logos and trade dress are the intellectual property of SkyHighMedia and may not be used without prior written permission. Third-party trademarks used in our Services are the property of their respective owners.

d. Feedback. Any feedback, suggestions, or ideas you provide about the Services may be used by Call Sadie without compensation or restriction.

7. Your Data

a. Your Data. As between you and Call Sadie, Your Data belongs to you. Call Sadie does not claim ownership of Your Data. You are solely responsible for Your Data, including its accuracy, legality, and the manner in which it was acquired, and for ensuring it does not violate any third party's rights.

b. Your Data License. By providing Your Data to the Services, you grant Call Sadie a worldwide, non-exclusive, royalty-free right to use, copy, modify, and process Your Data for the purpose of (i) facilitating your use of the Services; (ii) developing or improving the AI models that power the Services; (iii) enforcing these Terms; and (iv) any other legally permissible purpose you consent to. You may end this license for specific pieces of Your Data by deleting them from the Services.

c. Prohibited Data. The Services are not designed for processing sensitive categories of data such as health information, financial account data, government identification numbers, or ITAR-controlled data ("Prohibited Data"). You agree not to submit Prohibited Data to the Services.

d. Copyright Infringement/DMCA Notice. If you believe content on our Services infringes your copyright, please contact contact@speakos.ai with a description of the content, its location, and a good-faith statement of infringement, consistent with the Digital Millennium Copyright Act (17 U.S.C. § 512).

8. Acceptable Use

a. Your Callers. Your Callers' use of the Services does not make Call Sadie a party to any transaction or obligation between you and the Caller. You are solely responsible for your obligations to your Callers.

b. Your Privacy Practices. You are solely responsible for giving notice to and obtaining consent from your Callers as required by applicable law regarding the SMS Features, AI Features, and call recording, and for using the Services only in accordance with these Terms and applicable law.

c. Prohibited Use. You may not use the Services (i) in violation of any applicable law, including the U.S. CAN-SPAM Act, TCPA, or COPPA; (ii) to process health information in violation of HIPAA; (iii) to promote illegal goods or services; (iv) to defraud, deceive, or mislead anyone; or (v) to transmit content that is defamatory, obscene, or promotes harassment, discrimination, or violence. You may not reverse engineer, resell, or create derivative works of the Services without our written permission.

9. Services Access

a. Availability. Call Sadie will use commercially reasonable efforts to maintain availability of the Services, but the Services may be unavailable at times due to scheduled maintenance, outages, or causes beyond our reasonable control.

b. Updates. We may develop and provide updates to the Services from time to time, including bug fixes and new features, which will be deemed part of the Services and subject to these Terms.

c. Third-Party Services. The Services integrate with third-party software of your choosing, such as Cal.com, Google Calendar, Zapier, or your CRM ("Third-Party Services"). You are solely responsible for your use of the Services with any Third-Party Services, including their terms and privacy practices. Call Sadie does not endorse and is not responsible for the behavior of any Third-Party Services.

10. Security

You are strictly prohibited from attempting to breach or test the security of the Services, access data not intended for you, or interfere with the proper working of the Services through any device, script, or automated tool not provided by us.

11. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. CALL SADIE MAKES NO EXPRESS, IMPLIED, OR STATUTORY WARRANTIES REGARDING THE AVAILABILITY, QUALITY, RELIABILITY, OR ACCURACY OF THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALL SADIE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICES. IN NO EVENT WILL CALL SADIE'S TOTAL LIABILITY TO YOU EXCEED THE FEES YOU PAID TO CALL SADIE IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold Call Sadie, SkyHighMedia, and our respective officers, employees, and agents harmless from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (i) your use of the Services in violation of these Terms or applicable law; (ii) Your Data; or (iii) your violation of any third party's rights, including laws governing telemarketing or messaging.

14. Cancellation & Termination

You may cancel your Subscription at any time through your Account, effective at the end of the then-current billing cycle. Call Sadie may suspend or terminate your Subscription if we determine, in our sole discretion, that you have breached these Terms, engaged in fraudulent or illegal activity, or failed to pay any invoice on time. Upon cancellation, you will have 30 days to export Your Data before it is permanently deleted from our systems.

15. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A CLASS ACTION WAIVER AND REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES.

a. Informal Dispute Resolution. Before filing a claim against Call Sadie, you agree to try to resolve the dispute informally by contacting us at contact@speakos.ai. If the dispute is not resolved within 30 days, either party may bring a formal proceeding.

b. Arbitration Agreement. You and Call Sadie agree to resolve any dispute arising out of or relating to these Terms through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be held in Wilmington, Delaware, or any other location we agree to. Either party may bring qualifying claims in small claims court in New Castle County, Delaware, or where you live or work. Either party may seek injunctive relief in court to stop unauthorized use of the Services or infringement of intellectual property rights without first arbitrating.

c. Class Action Waiver. You may only resolve disputes with Call Sadie on an individual basis and may not bring a claim as a plaintiff or class member in any class, consolidated, or representative action.

d. Governing Law. These Terms and any dispute arising from them are governed by the laws of the State of Delaware and the Federal Arbitration Act, without regard to conflict-of-laws principles. If the agreement to arbitrate is found not to apply, any judicial proceeding will be brought in the federal or state courts located in New Castle County, Delaware, and both parties waive the right to a jury trial. Any claim must be filed within one year after it arose, or it is barred.

16. General Terms

a. Relationship of Parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.

b. Geographic Restrictions. Call Sadie is owned and operated in the United States. The Services are permitted for use with Callers located in the United States and Canada only. You are prohibited from making Sadie available to Callers in other jurisdictions.

c. Responsibility for Legal Compliance. You agree to comply with all applicable laws relevant to your use of the Services, including privacy, telemarketing, and consumer protection laws. The Services do not include professional or legal compliance advice, and Call Sadie does not warrant that any template notice or default setting will satisfy your legal obligations.

e. Entire Agreement. The Services are owned and offered to you by SkyHighMedia dba Call Sadie. These Terms and any agreements incorporated by reference constitute the entire agreement between Call Sadie and you regarding the Services.

f. Assignment. You may not assign these Terms without our prior written consent. Call Sadie may freely assign these Terms.

g. Amendments. Call Sadie reserves the right to revise these Terms by updating this page. Your continued use of the Services following the posting of changes constitutes your acceptance of those changes.

h. Notices. Any notices under these Terms will be given to Call Sadie at contact@speakos.ai and to you via the email address on your Account.

You agree to be unconditionally bound by these Terms of Service by accessing or using the Services in any manner.
